These Terms and Conditions (“Terms”) govern your access to and use of our marketplace website, community features, platform, and services. By accessing or using BIZmatch, whether as a buyer, vendor, community participant, or casual browser, you agree to be bound fully by these Terms. If you do not agree with any part of these Terms, please do not use our platform.
1. Description of Service
BIZmatch is a business-to-business (B2B) multi-vendor marketplace and community platform. The platform allows independent third-party vendors (“Sellers” or “Vendors”) to list, market, and sell goods or services, and business buyers (“Buyers”) to browse, inquire, purchase those goods or services, and engage in community-driven interactions.
2. Platform Role and Limitation of Liability
- Facilitator Only: BIZmatch acts solely as an online platform to host product listings, facilitate community interactions, and manage transaction processing between Buyers and Sellers.
- Independent Third Parties: Vendors operating on BIZmatch are entirely independent third parties. They are not employees, partners, legal representatives, or agents of BIZmatch.
- No Endorsement: BIZmatch does not manufacture, store, inspect, ship, or warrant any of the products, services, or third-party content distributed through the platform. The contract for sale is strictly and exclusively between the Buyer and the Seller.
- Limitation of Liability: To the maximum extent permitted under applicable Malaysian laws (including, where applicable, the Consumer Protection Act 1999), BIZmatch, its directors, and its employees shall not be liable for any direct, indirect, incidental, or consequential damages arising from product defects, delivery delays, misrepresentations by vendors, financial losses, data breaches, or unresolved disputes between platform users.
3. User Accounts, Verification, and Electronic Signatures
- Account Security: Users are responsible for maintaining the confidentiality of their account credentials and for all activities that occur under their account.
- Business Verification: To maintain a secure B2B trading environment, BIZmatch reserves the absolute right to request business documentation—such as Suruhanjaya Syarikat Malaysia (SSM) certificates—to verify user identities. We reserve the right to suspend or terminate accounts that provide fraudulent, altered, or incomplete verification data.
- Electronic Formation of Contract: In accordance with the Electronic Commerce Act 2006, you acknowledge and agree that clicking “Register”, “Create Account”, “Place Order”, or taking similar definitive electronic actions on the platform constitutes your valid, legally binding electronic signature and intent to enter into a contract.
4. User Content & Community Conduct Guardrails
Since BIZmatch incorporates community-driven features, specific rules apply to how users interact.
- Prohibited Conduct: Users are strictly prohibited from engaging in any behavior that harms the platform ecosystem. This includes, but is not limited to: spamming, soliciting transactions outside the platform to circumvent fees, posting offensive, defamatory, or discriminatory content, impersonating any individual or business, or distributing malicious software.
- Review Integrity: Trust is core to our community. Fake reviews, incentivized reviews (that are not explicitly disclosed), or “review bombing” (coordinated negative reviews targeting a vendor maliciously) are strictly prohibited and will be investigated.
- User-Generated Content (UGC) License: Sellers and community members retain ownership of the text, forum posts, product reviews, logos, and images they upload. However, by posting content on BIZmatch, you grant the platform a non-exclusive, worldwide, royalty-free, sub-licensable license to use, host, display, and distribute that content strictly for the purposes of operating, marketing, and improving the service.
- Right to Monitor and Remove: BIZmatch reserves the right, but does not assume the obligation, to monitor, edit, or permanently remove any user-generated content or product listings that violate these Terms or harm the platform’s reputation without prior notice.
5. Intellectual Property & Platform Protection
- Platform Ownership: All brand marks, logos, site UI/UX design, graphics, text, and proprietary software code utilized across the platform are the exclusive intellectual property of BIZmatch and BeanSE.
- Trademark Usage Restrictions: Vendors and users are granted no rights to use the BIZmatch or BeanSE logos, trademarks, or branding materials in their independent marketing materials or external websites without express, prior written permission.
6. Data Protection and PDPA Compliance
- Consent to Processing: By creating an account, browsing, or utilizing BIZmatch services, you expressly consent to BIZmatch collecting, processing, storing, and transferring your personal and corporate data (including but not limited to names, NRIC/passport numbers, contact details, and banking information) in strict alignment with the Personal Data Protection Act (PDPA) 2010.
- Operational Data Sharing: To facilitate marketplace transactions, logistics fulfillment, and dispute resolution, you acknowledge that BIZmatch will share relevant Buyer information with Sellers, and vice versa. Both Buyers and Sellers agree to process such shared data strictly for order fulfillment and in full compliance with the PDPA 2010.
- Privacy Policy Integration: All data processing operations are governed comprehensively by our master Privacy Policy, which is explicitly incorporated into these Terms by reference.
7. Payments, Fees, and Escrow Governance
- Secure Payment Processing: All financial transactions on BIZmatch are handled through authorized third-party payment gateways (e.g., FPX, credit card processors). BIZmatch does not store sensitive credit card credentials on its servers.
- Escrow Mechanism: BIZmatch operates a secure temporary escrow holding protocol to protect marketplace transactions. When a Buyer makes a payment, the funds are held securely by BIZmatch (or its designated payment processor) and are only disbursed to the Seller after delivery verification and the expiration of the 7-day return/dispute window. BIZmatch acts strictly as an escrow facilitator and is not a financial or deposit-taking institution.
- Anti-Circumvention Clause: Users are strictly prohibited from utilizing the BIZmatch platform to discover a vendor, buyer, or product layout, and subsequently executing the transaction offline or through external communication channels to bypass platform transaction fees or commissions. Violations may result in immediate account termination.
- Right to Withhold Payouts: BIZmatch reserves the absolute right to freeze, delay, or withhold escrowed funds if a formal dispute is logged under Clause 11, or if fraudulent or illegal activity is suspected, until the issue is officially resolved.
8. Notice-and-Takedown Protocol for Intellectual Property
- Infringement Prohibited: BIZmatch strictly prohibits the sale of counterfeit, unauthorized, or IP-infringing items. Sellers legally warrant that they possess all necessary licenses, copyrights, and trademarks for their listed products.
- Takedown Procedure: If BIZmatch receives a credible claim of intellectual property infringement from a verified brand owner or legal representative, we reserve the right to remove the offending listing immediately without prior notice or liability to the Seller.
9. Prohibited Goods and Halal Integrity
- Prohibited Items: Users are strictly prohibited from listing, selling, or purchasing items that violate Malaysian laws, including illegal substances, unapproved medical products, hazardous chemicals, weapons, and counterfeit goods.
- Halal Status Enforcement: Sellers who mark their products or storefronts with a “Halal” designation or participate in the Halal BIZmatch segments must possess valid, active certification from JAKIM (Jabatan Kemajuan Islam Malaysia) or an officially recognized global Halal authority. BIZmatch reserves the right to request proof of certification and to remove unverified “Halal” listings instantly.
10. Shipping & Delivery Terms
- Multi-Vendor Fulfillment: Items purchased on our platform are fulfilled and shipped directly by the individual third-party Sellers. If you purchase items from multiple Sellers in a single transaction, your items will be fulfilled separately, may arrive in multiple packages, and will have distinct tracking details.
- Processing and Delivery Timelines: Standard orders are typically processed by Sellers within 1–3 business days. Custom or bulk B2B orders may require extended lead times as indicated on the product listing. Standard domestic shipping within Malaysia typically takes 3–5 business days post-dispatch. Deliveries to East Malaysia (Sabah & Sarawak) or international destinations require additional transit time.
- Shipping Rates: Shipping costs, carrier choices, and handling rules are specified by each individual Seller and will be clearly calculated and displayed at the checkout page before final payment. Once an order is shipped, tracking information will be updated in the Buyer’s dashboard and/or sent via email.
- Logistics Liability Disclaimer: BIZmatch is not responsible for logistics delays, package loss, or handling damage caused by third-party courier services or customs clearance procedures.
11. Cancellations, Returns, and Refunds
Order modifications, cancellations, and return claims must follow the frameworks outlined below:
11.1 Order Cancellations
- Before Shipment: Buyers may request an order cancellation through their dashboard before the Seller has dispatched the package or generated a tracking number.
- After Shipment: Once an order has been marked as shipped, it cannot be canceled. The buyer must instead wait to receive the item and initiate a formal return request if eligible.
11.2 Return Eligibility
Buyers may request a return or refund within 7 days of receiving their order under the following conditions:
- The product delivered is physically damaged, defective, or broken upon arrival.
- The product varies fundamentally from the technical specifications, descriptions, or visual samples provided by the Seller.
- The incorrect item, size, or quantity was delivered.
Note: Custom-manufactured products, built-to-order bulk goods, or digital service packages are non-returnable and non-refundable unless specified otherwise by the individual Seller’s storefront policies.
11.3 Return Shipping Costs
- Seller Cover: If the return is due to a verifiable mistake, defect, or wrong item sent by the Seller, the Seller will cover the return shipping costs.
- Buyer Cover: For all other valid return requests, the Buyer is responsible for paying all return shipping and handling fees. Items must be sent back unused, in their original packaging, and with all tags/manuals intact.
11.4 Refund Processing
- Processing Window: Once the Seller receives and inspects the returned items, BIZmatch will process the refund. Approved refunds will be reversed back to the original payment method (e.g., credit card, FPX online banking) or issued as platform store credit. Please allow 7–14 business days for the funds to reflect in your financial account.
12. Dispute Resolution
If a Buyer and a Seller cannot reach a mutual agreement regarding a shipping delay, product defect, or refund request, either party may escalate the issue to BIZmatch Support. BIZmatch reserves the right to review communication logs, photos of damaged goods, and delivery tracking proofs to make a final, binding determination regarding the transaction dispute and the distribution of escrowed funds.
13. Termination of Service
- Grounds for Termination: BIZmatch reserves the absolute right to suspend, restrict, or permanently terminate any user or vendor account without prior notice for a “material breach” of these Terms, prolonged account inactivity, fraudulent actions, or behavior that disrupts the marketplace community.
- Data Handling Post-Termination: Upon account termination, BIZmatch reserves the right to unpublish and permanently delete all product listings, storefront data, and user-generated content associated with the account, subject to mandatory transaction data retention windows required by Malaysian tax and corporate law.
14. Disclaimer of Warranties (“As Is” Clause)
The platform services, community spaces, and all information, content, or materials listed by third-party vendors are provided on an “as is” and “as available” basis. BIZmatch makes no representations or warranties of any kind, express or implied, as to the operation of the platform, the accuracy of listing data, or the uninterrupted availability of services. You explicitly agree that your use of the platform is at your sole risk. BIZmatch is not liable for platform downtime, technical glitches, or errors stemming from internet service providers or third-party integrations.
15. Force Majeure
BIZmatch shall not be held liable or responsible for any failure to perform, or delay in performance of, any of our obligations under these Terms that is caused by events outside our reasonable control. This includes, but is not limited to: natural disasters, acts of God, cyberattacks, systemic internet or power outages, civil unrest, strikes, or government-mandated lockdowns.
16. Governing Law
These Terms and any disputes or claims arising out of or in connection with your use of the platform shall be governed by and construed in accordance with the laws of Malaysia. Any legal actions or proceedings shall be brought exclusively before the courts of Malaysia.
17. Amendments to Terms
BIZmatch reserves the right to modify, amend, or update these Terms & Conditions at any time.
- Minor Changes: For minor or non-material changes (such as formatting or typographical edits), updates become effective immediately upon being posted to this URL page.
- Material Changes: For material changes that substantially impact user rights, community guidelines, or vendor fee models, BIZmatch will provide users with 30 days’ advance notice via a prominent platform announcement or direct email notification. Your continued use of the website following the effective date of any changes constitutes your formal acceptance of the revised Terms.
